You and your guardian shall bear the corresponding consequences of agreeing to this agreement and using the Xiaohongshu platform in accordance with laws and regulations. **

  • Unless you have fully read, fully understood and accepted all the terms of this Agreement, you have no right to use the Xiaohongshu platform. If you do not agree to this Agreement or any of its terms, you should immediately stop using the Xiaohongshu platform. This Agreement shall have legal effect between you and Xiaohongshu Company and become a legal document binding on both parties. **

I. Definition and Scope of Agreement

1.1 Definition

  • Xiaohongshu Platform: refers to the website with the domain name xiaohongshu.com, the “Xiaohongshu” client software, and the associated websites or software based on the aforementioned websites or software.
  • Xiaohongshu Company or we: refers to the operator of the Xiaohongshu platform, namely Xingyin Information Technology (Shanghai) Co., Ltd. and its affiliates.
  • Xiaohongshu platform service: refers to the content browsing, content publishing, goods and service transactions, live broadcasts, and other functions or services provided by Xiaohongshu Company through the Xiaohongshu platform, including but not limited to collection, comment, share, forward, search query, platform activities, etc., which are subject to the actual provision of Xiaohongshu Company. At the same time, Xiaohongshu Company has the right to add, shut down or make other adjustments to the functions or services provided.
  • Xiaohongshu account or account: refers to the account that users may need to register when using the Xiaohongshu platform service. Users can register and obtain an account on the Xiaohongshu platform as a credential for logging in and using the Xiaohongshu platform.
  • User: refers to the user of the Xiaohongshu platform, more commonly referred to as “you” in this agreement.
  • Bad information: refers to information containing the following content:
  • Violating the basic principles established by the Constitution, inciting resistance to or undermining the implementation of the Constitution and other laws and regulations;
  • Endangering national unity, sovereignty and territorial integrity, leaking state secrets, endangering national security, damaging national dignity, honor and interests, and promoting terrorism and extremism;
  • Defaming the excellent cultural traditions of the nation, inciting ethnic hatred and discrimination, infringing on ethnic customs and habits, distorting national history and historical figures, hurting ethnic feelings, and undermining ethnic unity;
  • Inciting the destruction of national religious policies, promoting religious fanaticism, endangering religious harmony, hurting the religious feelings of religious citizens, undermining the unity of religious citizens and non-religious citizens, and promoting cults and superstitions;
  • Endangering social morality, disrupting social order, undermining social stability, promoting obscenity, gambling, drug abuse, exaggerating violence and terror, abetting crimes or teaching criminal methods;
  • Infringing the legitimate rights and interests of minors or damaging the physical and mental health of minors;
  • Insulting, slandering others or spreading the privacy of others, infringing on the legitimate rights and interests of others;
  • Violation of the “seven bottom lines” of laws and regulations, the socialist system, national interests, citizens’ legitimate rights and interests, social public order, morality and information authenticity;
  • Other content prohibited by laws and regulations.

1.2 Scope of the Agreement

II. Account Management

2.1 Account Acquisition

  • Xiaohongshu platform provides you with registration and login channels. You can fill in the information, read and agree to this agreement according to the prompts on the page. After completing all registration and login procedures, you will become a user of Xiaohongshu platform. You also need to fill in your real identity information in accordance with the provisions of laws and regulations (if any), otherwise you may not be able to use the Xiaohongshu platform services or be restricted in the process of using the Xiaohongshu platform services. You understand and agree that you are obliged to maintain the authenticity, validity and integrity of the information you provide.
  • The account and password you registered are your credentials for logging in and using the Xiaohongshu platform as a user. You should use them with caution and keep them properly. **You are responsible for all activities and behaviors of your account. If the account is stolen, the password is lost, or the account is illegally used due to your poor custody, you will be solely responsible. **
  • You shall not maliciously register a Xiaohongshu account, including but not limited to frequent registration, batch registration, registration using the identity of others, or other account registration behaviors that are not for the purpose of normal use of the Xiaohongshu platform services.

2.2 Account Information Settings

  • The account information such as the name, avatar and profile you set when registering or using the Xiaohongshu platform should comply with laws and regulations, social ethics and information authenticity, and no negative information should appear. You should not use other people’s names, titles, font sizes, avatars, etc. or set up accounts in other ways that are confusing, and you should not infringe on the legitimate rights and interests of third parties.

2.3 Account Use and Ownership

  • **Some third-party websites or services can use Xiaohongshu accounts as one of their login methods. You know that unless Xiaohongshu Company specifically states, these websites or services are not operated by Xiaohongshu Company. You should judge the security and availability of such third-party websites or services on your own and bear the relevant risks and responsibilities. **
  • Because your account is associated with your personal information and Xiaohongshu platform business information, your account is limited to your own use. Without the consent of Xiaohongshu Company, your direct or indirect authorization of a third party to use your account or obtain information under your account is invalid. If Xiaohongshu determines that the use of your account may violate laws and regulations, endanger the security of your account and the information security of **/** or Xiaohongshu platform, Xiaohongshu may refuse to provide corresponding services or terminate this agreement. Xiaohongshu has the right to block or cancel or recover the account as appropriate, and the losses caused by this, including but not limited to the clearing of content and virtual property, shall be borne by you and the user of the account.

2.4 Account cancellation and recovery

  • You can apply to cancel your Xiaohongshu account in accordance with the process of the Xiaohongshu platform, but you shall still bear the corresponding responsibility for your actions before canceling your account or during the use of Xiaohongshu platform services. After successful cancellation, unless otherwise provided by laws and regulations, Xiaohongshu will not provide you with account records, content, virtual property, etc., or restore or provide services. Please operate with caution.
  • You understand and agree that in order to make full use of account resources, if you fail to log in for the first time in time after registration or fail to log in and use the account for more than six consecutive months, and there is no continuous Xiaohongshu platform service that has not expired or has not been fulfilled, Xiaohongshu has the right to recover your account. If your account is revoked, you will not be able to log in and use the Xiaohongshu platform through your previous account, and the personalized settings and usage records saved in your account will not be restored.

2.5 Account Violation Disposal

  • If you violate any laws and regulations or do not comply with the provisions of this Agreement when registering or using a Xiaohongshu account, Xiaohongshu Company has the right to refuse to register; if you have already registered, Xiaohongshu Company has the right to require users to make corrections within a time limit, or unilaterally take measures such as short-term ban, permanent ban, and account cancellation.

Three, Xiaohongshu Platform Services

3.1 Content Browsing

  • You can browse and subscribe to various types of information and content through the Xiaohongshu platform. You must make your own judgment on the content on the Xiaohongshu platform and bear the risks caused by the use of the content. Except as expressly provided by laws and regulations, you shall be solely responsible for any purchase or transaction made by you due to such content or any damage or loss suffered due to the aforementioned content.

3.2 Content Publishing

  • You can use the Xiaohongshu platform to publish your original opinions, texts, information, pictures, audio and video, etc. that you have the right to publish. **Any content or information you publish on the Xiaohongshu platform does not represent the views, positions or policies of Xiaohongshu Company. Except as expressly provided by laws and regulations, you shall be solely responsible for the content you publish. **
  • When you publish content through the Xiaohongshu platform, you must comply with relevant laws and regulations, and you shall not use the Xiaohongshu platform to produce, copy, publish, disseminate, or store any information, marketing information, vulgar and inappropriate information, bad information, or false information that violates laws and regulations, endangers national security, or may cause losses to the property safety or information security of users.
  • **Users shall not use new technologies and applications such as deep learning, virtual reality, generative artificial intelligence to produce, upload, copy, transmit, and disseminate false news information or other information prohibited by laws and regulations, or falsely claim synthetic content as natural content. When you publish or disseminate non-real information produced by new technologies and applications such as deep learning, virtual reality, and generative artificial intelligence, you should mark it in a prominent manner, otherwise the platform has the right to take measures including but not limited to adding marks, restrictions, and bans on relevant content and accounts. **

3.3 Goods and Services Transactions

  • You can use the Xiaohongshu platform to trade goods and services. If you are a minor or a person with limited civil capacity, please trade with the consent of your guardian.

  • When conducting transactions, please be sure to carefully confirm the name, price, quantity, model, specification, size of the purchased goods or the time, content, restrictive requirements and other important matters of the service, and verify your contact address, telephone number, consignee and other information when placing an order. If the consignee you fill in is not yourself, you shall bear all legal consequences arising from the consignee’s behavior and intention.

  • Your transaction behavior should be based on real consumer demand, and you must not engage in malicious purchases of goods or services, malicious rights protection, or other behaviors that disrupt the normal transaction order of the Xiaohongshu platform. **Based on the need to maintain the transaction order and transaction security of the Xiaohongshu platform, Xiaohongshu Company may take the initiative to close relevant transaction orders and other operations when discovering the above circumstances. **

  • If your transaction counterparty exploits system loopholes and rule loopholes on the Xiaohongshu platform to improperly obtain platform subsidies and other benefits, based on the need to maintain the transaction order, transaction security and the legitimate rights and interests of the Xiaohongshu platform, Xiaohongshu Company may take the initiative to close relevant transaction orders and other operations when discovering the above circumstances.

  • After the termination of this Agreement, Xiaohongshu Company may notify the transaction counterparty of the transaction orders generated by you during the continuation of this Agreement, and has the right to decide whether to close the unfinished transaction orders independently or according to the wishes of the transaction counterparty; if Xiaohongshu Company does not close the transaction orders, you shall continue to perform the provisions of this Agreement and the transaction orders for such transaction orders, and bear the legal responsibilities and losses arising therefrom.

3.4 Content Sharing and Forwarding

  • You may share and forward the information content on the Xiaohongshu platform, but without the written permission of Xiaohongshu, you may not copy, read, adopt, count the information content and related data on the Xiaohongshu platform, or sell or use it in any form, or disclose, provide or allow third parties to use it in any way.

3.5 Activity Participation

  • You can participate in various online and offline interactive activities organized by Xiaohongshu from time to time through the Xiaohongshu platform, but you may not take any improper or cheating means to participate in the activities, otherwise Xiaohongshu has the right to restrict or cancel your eligibility to participate in the activities, and has the right to cancel and recover the rewards you have received and received, and pursue your legal liability.

3.6 Live Broadcast

3.7 Service Fees

  • Xiaohongshu Company has paid a lot of costs to provide you with the Xiaohongshu platform services. Except for the fee-charging services explicitly stated by the Xiaohongshu platform, the Xiaohongshu platform services provided to you by Xiaohongshu Company are free of charge. **If Xiaohongshu Company charges you reasonable fees in the future, Xiaohongshu Company will take reasonable measures and notify you in advance within a reasonable period of time to ensure that you have the right to fully choose. **
  • When Xiaohongshu Company reduces the charging standards for paid services or changes paid services to free services, Xiaohongshu Company reserves the right not to provide refunds or fee adjustments to original paying users.

IV. Rights and Licenses

4.1 Platform Statement

  • [Platform Intellectual Property Rights] The content provided by the Xiaohongshu platform, including but not limited to videos, pictures, text expressions and their combinations, interface design, layout framework, icons, trademarks, etc., except for software and content authorized by third parties, belongs to Xiaohongshu Company and is protected by the Copyright Law of the People’s Republic of China, the Trademark Law, the Patent Law, the Anti-Unfair Competition Law and international treaties. Without the written permission of Xiaohongshu, users shall not use, copy, reproduce these contents for any purpose, or create derivative products related to the contents.

  • 【Platform Usage Guidelines】 Unless permitted by laws and regulations or with written permission from Xiaohongshu, you may not engage in the following activities:

    • Reverse engineering, reverse assembly, reverse compilation of the Xiaohongshu platform, or otherwise attempting to discover the source code of the Xiaohongshu platform;

  • Directly or indirectly stealing videos, pictures, user information and other information content from the Xiaohongshu platform in any way (including but not limited to hotlinking, redundant theft, illegal crawling, simulated downloading, deep linking, fake registration, etc.);

  • Log in to or use the Xiaohongshu platform through third-party software, plug-ins, plug-ins, systems that are not developed, authorized, or licensed by Xiaohongshu, or interfere with, destroy, modify or otherwise affect the normal operation of the Xiaohongshu platform;

  • Use or conduct any activities that endanger computer network security against the Xiaohongshu platform, including but not limited to: illegally intruding into the network, interfering with the normal function of the network, stealing network data, and other activities that endanger network security, or providing programs, tools, and other support and assistance for the above activities; attempting to interfere with or disrupt the normal operation of the Xiaohongshu platform system or website, deliberately spreading malicious programs or viruses, and other acts that disrupt and interfere with normal network information services;

  • Other use of the Xiaohongshu platform in any illegal manner, for any illegal purpose, or in a manner inconsistent with other specifications and standards established by Xiaohongshu Company for this purpose.

4.2 User Content and Information Authorization

  • The content (including but not limited to text, pictures, videos, audio, etc.) you publish and upload on the Xiaohongshu platform should have a legal source, and the relevant content is owned by you or you have obtained the necessary authorization

  • **Unless otherwise proven, you understand and agree that in order to better share and promote user content and enhance its dissemination value and influence, you grant Xiaohongshu Company a free, irrevocable, non-exclusive, and unrestricted license to use, including: storing, using, disseminating, copying, revising, adapting, compiling, publishing, displaying, translating, performing user content or making derivative works, incorporating content into other works in known or later developed forms, media or technologies, and re-licensing the right to use it in the aforementioned manner by third parties, as well as the right to collect evidence, file complaints or initiate lawsuits in your own name or entrust professional third parties to infringe on the intellectual property rights of the content uploaded and published by you. **

  • **For the avoidance of doubt, the above license includes the right and permission to use, copy and display protected personal images, portraits, names, trademarks, brands, logos and other marketing materials and materials in user content. **

  • Xiaohongshu will not transfer or disclose your personal information to any third party unless:

    • Required by relevant laws and regulations or judicial and administrative authorities.

  • Transferred to complete mergers, divisions, acquisitions or asset transfers.

  • Necessary to provide the services you requested.

  • Circumstances where transfer or disclosure to any third party is allowed in accordance with other relevant agreement rules.

4.3 Infringement Complaint

  • Xiaohongshu respects and protects the intellectual property rights, reputation rights, name rights, privacy rights and other legal rights of you and others. You guarantee that the text, pictures, videos, audio, links, etc. uploaded on the Xiaohongshu platform do not infringe on the intellectual property rights, reputation rights, name rights, privacy rights and other legal rights of any third party. Otherwise, Xiaohongshu has the right to remove the suspected infringing content upon receipt of a notice from the right holder or relevant party. * If you believe that the content on the Xiaohongshu platform infringes your legal rights, you should send us an infringement notice. The specific notification method and requirements shall be implemented in accordance with the Infringement Complaint Guidelines. We will review the content after receiving the effective notice and take necessary measures for the content that can be preliminarily proved to constitute infringement. You will also receive a corresponding notice for the content that cannot be identified as infringement. If you still believe that the infringement exists, the new infringement notice should supplement the evidence of infringement.

  • Unless otherwise proven, **The data stored by Xiaohongshu Company on its server is the only valid evidence of the user’s use of the Xiaohongshu platform. **

5.1 Breach of Contract

If you violate the provisions of this Agreement, Xiaohongshu Company has the right to make an independent judgment and immediately suspend or terminate the provision of some or all Xiaohongshu platform services to you, including measures such as banning, blocking information, deleting published content, banning accounts, and canceling accounts. You shall bear your own losses (including but not limited to the clearing of virtual property, inability to use the account and related Xiaohongshu platform services normally, inability to obtain assets or other rights in your account normally, etc.), as well as the corresponding legal responsibilities.

5.2 Liability Assumption

**The forms of your legal liability include but are not limited to: compensating the victim for losses, apologizing, eliminating the impact, returning property, etc. If your behavior causes losses to Xiaohongshu Company, you shall bear all compensation responsibilities, including direct losses such as administrative penalties or damages, and indirect losses such as goodwill loss, settlement, attorney fees, and litigation fees. **

5.3 Anti-commercial bribery

You fully understand that any benefits such as physical objects, cash, cash equivalents, labor, travel, etc. provided to employees or consultants of Xiaohongshu Company, which are obviously beyond the scope of normal business negotiations, are regarded as commercial bribery. In the event of the above circumstances, Xiaohongshu Company may immediately terminate all cooperation with you and pursue your legal liability.

5.4 Associated processing

When Xiaohongshu Company terminates this agreement due to your breach of contract, **Xiaohongshu Company may terminate its cooperation with you under other agreements in accordance with the agreement reached with you under other agreements for the purpose of maintaining the order of the platform. If you violate the agreement concluded between Xiaohongshu and you under other cooperation, Xiaohongshu Company also has the right to terminate this agreement. In addition to the termination of the aforementioned agreement, Xiaohongshu Company may also pursue your liability for breach of contract in association. **

5.5 Information disclosure

Xiaohongshu Company may publicize the handling information of your above-mentioned breach of contract and other illegal information confirmed by effective legal documents of national administrative or judicial authorities on Xiaohongshu platform. We are obliged to keep relevant records, report to relevant state agencies and cooperate in investigations of suspected violations of laws and regulations.

VI. Limitation of Liability and Exemption

6.1 Third-Party Services

When you use a specific service on the Xiaohongshu platform, the service may have a separate agreement or rules. Please read and agree to the relevant separate agreement or rules before using the service. **If the service is provided by a third party, Xiaohongshu and the third party shall each be responsible for any disputes that may arise within the scope of laws, regulations and agreements. **

6.2 Limitation of Liability

All exemptions and limitation of liability clauses contained in this Agreement shall only apply to the maximum extent permitted by laws and regulations.

6.3 Platform Liability

Xiaohongshu shall only assume platform liability in accordance with the provisions of relevant laws and regulations. We shall not be liable for defamation, crime or other illegal acts of third parties, nor shall we compensate for your losses caused thereby, except where we are legally at fault for your losses**. **

6.4 Service Change, Interruption, Termination

  • Xiaohongshu Company is constantly changing and improving the Xiaohongshu platform services. We will do our best to provide you with services and ensure the continuity and security of the services. Based on this, we may update the Xiaohongshu platform. You should update the software to the latest version, otherwise we cannot guarantee that you can use the Xiaohongshu platform normally.

  • You understand and agree that Xiaohongshu Company may choose to suspend, interrupt and terminate part or all of the services of the Xiaohongshu platform based on its own business decisions, government actions, force majeure and other reasons. If such a situation occurs, we will take reasonable measures and notify you in advance within a reasonable period. Unless otherwise provided by laws and regulations, we will not bear the losses caused to you.

  • In the event of a merger, division, acquisition or asset transfer of Xiaohongshu Company, Xiaohongshu Company may transfer part or all of the Xiaohongshu platform services and corresponding rights and obligations under this agreement to a third party for operation or performance after unilaterally notifying you. The specific transferee shall be subject to the notification of Xiaohongshu Company.

  • If any of the following circumstances occurs, Xiaohongshu Company has the right to interrupt or terminate the provision of services to you without notice:

    • According to the laws and regulations, you should submit true information, but the personal information you provide is untrue, or inconsistent with the information at the time of registration, and you fail to provide reasonable proof.

  • You violate the provisions of relevant laws and regulations or the provisions of this Agreement.

  • According to the laws and regulations, or the requirements of judicial organs or competent authorities.

  • For security reasons or other necessary circumstances.

VII. Agreement Change and Termination

7.1 Agreement Change Notice

**Xiaohongshu Company has the right to modify the content of this Agreement when necessary, and will notify you in advance through reasonable means (including but not limited to Xiaohongshu platform announcements, system messages, station letters, mobile phone text messages, emails, etc.) and a reasonable period of time. Such notices are deemed to have been delivered to you on the date of sending. **You can check the latest version of the agreement content through the relevant pages of the platform.

7.2 Changes to the Agreement Take Effect

**After the changes to this Agreement take effect, if you continue to use the Xiaohongshu platform, it will be deemed that you have accepted the modified agreement. If you do not accept the modified agreement, you should stop using the Xiaohongshu platform. **

7.3 Termination of Agreement

When you cancel your Xiaohongshu account or Xiaohongshu Company notifies you that it will terminate the Xiaohongshu platform services for you (including but not limited to banning or canceling your account, etc.), this Agreement will terminate at the same time, and Xiaohongshu Company will not notify you separately of the termination of this Agreement.

Eight, Applicable Law and Jurisdiction

8.1 This Agreement is signed in Huangpu District, Shanghai, People’s Republic of China.

8.2 The conclusion, effectiveness, performance, interpretation, revision, termination and dispute resolution of this Agreement shall be subject to the laws and regulations of the People’s Republic of China (for the purpose of this Agreement only, excluding the laws and regulations of the Hong Kong Special Administrative Region and the Macao Special Administrative Region, and relevant regulations of Taiwan, China).

8.3 If any dispute or controversy arises between you and Xiaohongshu Company, Xiaohongshu Company shall negotiate with you to resolve it. If the negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of the People’s Court where the defendant is located.

Ninth, Others

9.1 The titles of all clauses of this Agreement are only for the convenience of reading and understanding, and have no actual meaning in themselves, and cannot be used as the basis for the interpretation of the meaning of this Agreement.

9.2 Regardless of the reasons why some of the terms of this Agreement are invalid or unenforceable, the remaining terms remain valid and binding on both parties.
